Practitioner Merchandising Policies

Pharos is committed to building and retaining a high quality brand image for the Products. For this reason Pharos provides Customers with training on the Products and their proper and safe use as well as information on the Marketing Permission. Any Customer not complying with these requirements will be excluded from distribution of Products for a period of at least six (6) months and all unfilled orders from that Customer will be immediately cancelled. These polices will be enforced strictly and uniformly by Pharos and do not constitute an agreement between Pharos and any Customer that the Customer will comply with these policies.

1. While Customers are free to establish there own resale prices, Pharos will enforce the following policy. Published pricing to the ultimate consumer will not be below the MSRP published by Pharos and its authorized distributors at the time of sale. For the purposes of this policy, advertising or offering to sell Products at a price below the MSRP based on one or more of the following types of programs or devices shall constitute a violation: a general discount or discount program (e.g. "10% off everything", or discount card program), selling Products in a package or bundle with one or more other products that are subject to a package or bundled discount, or linking the sale of Products to the sale of other discounted products in any advertisement or signage. Internet sales shall be advertising for the purposes of this policy.

2. Customers will not establish or maintain internet URLs, meta tags, banner ads, key words or other links that contain any of the Trademarks, other than as may be authorized by Pharos in writing.

3. Customers will not describe the Products in writing with slang terms or other than as may be authorized by Pharos in writing.

4. Customers are only authorized to offer Products for sale to ultimate consumers visiting their offices. Customers may not sell Products to a third party who they reasonably expect plans to or who does resell Products in volume to others.

5. Customers are authorized to offer Products for sale (a) through general print, radio and television advertisements for their practice and (b) over the intemet, provided that such internet activity is only conducted via their own web sites.

6. Customers will not offer Products for sale through any other means or channel of distribution, including, but not limited to intemet auctions or clearance sites (such as, for example only, ebay.com or overstock.com) or internet-only storefronts such as, for example only, ebay.com or yahoo.corn; via any home shopping television network, including but not limited to Home Shopping Network or QVC; or via radio or television or like direct advertisements including but not limited to "infomercials".

7. All advertising or promotion of Products by any Customer must be in accordance with Pharos' Trademarks Style Guide and must provide a form of Trademark notice approved by Pharos, such as, for example: "Tanda and Tanda Professional and trademarks ofPharos Life Corporation."

8. Customers may not make claims or indicate usages not authorized by Pharos
